These Brand Partner Terms ("Terms") govern your participation as a brand on the Canu wholesale distribution network ("Canu," "we," "us," or "our") at canulive.com. By applying as a brand partner and accepting these Terms, you ("Brand" or "you") agree to be bound by the following.
1. The Canu Model
Canu operates as a wholesale distribution network for live selling. Brands list their wholesale inventory on Canu. Approved live sellers browse the catalog, purchase products at wholesale prices, and resell them on their own live selling channels (TikTok Live, YouTube Live, Facebook Live, Amazon Live, Whatnot, and others).
Canu does not purchase or hold inventory. All orders are fulfilled directly by the Brand to the individual seller. Canu facilitates the connection and transaction between Brand and seller.
2. Eligibility & Approval
- Brand must be a legitimate manufacturer, brand owner, or authorized distributor.
- Brand must have the legal right to sell all products listed on Canu.
- Canu reserves the right to approve, reject, or remove any brand at its sole discretion.
- Brand must designate an authorized contact responsible for managing orders and the brand portal.
3. Pricing & Fees
- Brand sets the seller price — the wholesale price that live sellers pay Canu.
- Canu retains a 6% transaction fee on each order. Brand receives 94% of the seller price as payout.
- There are no listing fees, monthly fees, or setup costs.
- Brand may update pricing at any time. Price changes take effect on new orders only.
- Canu reserves the right to adjust the transaction fee with 30 days notice.
4. Orders & Fulfillment
- Brand is responsible for fulfilling all orders placed through Canu in a timely manner.
- Brand must provide a shipping quote to the seller within 3 business days of receiving an order.
- Brand ships directly to the seller at the address provided in the order. Seller's identity (name, email, business name) is not disclosed — only the shipping address.
- Brand must update order status in the Canu portal (pending → processing → shipped) with tracking information where available.
- Failure to fulfill orders consistently may result in suspension from the platform.
5. Inventory & Product Listings
- Brand is responsible for keeping product listings and in-stock status accurate and up to date.
- Canu provides inventory sync tools (Shopify, Google Sheets, CSV upload, direct API) to help maintain accuracy.
- Brand may not list products that infringe third-party intellectual property, are counterfeit, illegal, or otherwise prohibited.
- Canu reserves the right to remove any listing that violates these Terms or Canu's policies.
6. Payments & Payouts
- Sellers pay Canu at the time of order. Canu remits Brand payout (94% of order subtotal) on a schedule agreed upon during onboarding.
- Payouts are contingent on confirmed fulfillment. Orders with unresolved disputes may be held pending resolution.
- Brand is responsible for all taxes on its own revenue. Canu does not withhold taxes on Brand payouts.
7. Brand Identity & Product Images
- Brand grants Canu a non-exclusive license to display brand name, logo, product images, and descriptions on the Canu platform and in marketing materials that promote the Canu network.
- Sellers are permitted to use product images and descriptions provided by Brand solely for the purpose of reselling Brand products on their live selling channels.
- Brand retains all ownership of its intellectual property.
8. Seller Conduct & Brand Reputation
Canu approves all sellers before granting access to the platform. However, Brand acknowledges that:
- Sellers operate their own channels independently. Canu does not control how sellers present or sell Brand products on their streams.
- Sellers must comply with Canu's Terms of Service, which prohibit misrepresentation and other harmful conduct.
- Brand may report concerns about specific sellers to Canu at support@canulive.com. Canu will investigate and take appropriate action, up to and including seller removal.
9. Returns & Disputes
- Brand sets its own return policy, which must be clearly communicated to Canu at onboarding.
- In the event of a defective, damaged, or incorrect order, Brand is expected to resolve the issue directly with the seller (via the Canu portal) within 5 business days.
- Unresolved disputes may be escalated to Canu for mediation. Canu's decision in disputes is final.
10. Exclusivity
These Terms do not create an exclusive relationship. Brand may sell through other channels. Canu may carry competing products from other brands. Neither party is obligated to an exclusive arrangement unless separately agreed to in writing.
11. Confidentiality
Brand agrees to keep confidential any non-public information about Canu's operations, seller network, pricing structures, or platform features that are disclosed during the brand partnership. This obligation survives termination of the relationship.
12. Term & Termination
- Either party may terminate the brand partnership with 30 days written notice.
- Canu may terminate immediately for breach of these Terms, fraudulent activity, or conduct harmful to Canu or its seller network.
- Upon termination, Brand's listings will be removed and outstanding orders must be fulfilled. Pending payouts for fulfilled orders will be remitted on the normal schedule.
13. Limitation of Liability
To the fullest extent permitted by law, Canu shall not be liable for any indirect, incidental, or consequential damages arising out of or related to Brand's participation on the platform. Canu's total liability to Brand for any claim shall not exceed the total fees collected by Canu from Brand orders in the 90 days preceding the claim.
14. Governing Law
These Terms are governed by the laws of the State of Utah. Disputes shall be resolved in the state or federal courts located in Utah.
