Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Canu wholesale platform ("Canu," "we," "us," or "our") available at canulive.com. By creating an account and checking the acceptance box during registration, you ("Seller" or "you") agree to be bound by these Terms. If you do not agree, do not create an account or use the platform.

1. Eligibility

Canu is a business-to-business wholesale platform intended solely for licensed resellers. To use Canu you must:

• Be at least 18 years old and legally able to enter into contracts
• Operate a legitimate resale business (live selling, e-commerce, retail, or similar)
• Hold or be in the process of obtaining all applicable state and local business licenses
• Provide accurate information during the application process

Canu reserves the right to approve or reject any application at its sole discretion and to revoke access at any time if eligibility requirements are not met.

2. Account & Access

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@canu.com if you suspect unauthorized use.
• Accounts are non-transferable and may not be shared with third parties.

3. Wholesale Purchasing & Resale

Products purchased through Canu are priced at wholesale rates and are intended for resale only.

• You may not purchase products for personal use at wholesale prices.
• You may not resell products to other wholesalers or distributors — only to end consumers.
• Individual brand minimum order requirements may apply and will be shown before checkout.
• Prices are subject to change without notice.
• All sales are final unless otherwise stated. See Section 6 for returns.

4. Sales Tax & Resale Certificates

Canu sells to licensed resellers on a tax-exempt basis where applicable. You are responsible for:

• Providing a valid resale certificate for your state if you wish to purchase tax-exempt. Without a certificate on file, applicable sales tax may be charged.
• Collecting and remitting sales tax on your own sales to end consumers in accordance with applicable state and local laws.
• Keeping your resale certificate current. Canu is not liable for tax obligations arising from an expired or invalid certificate.

5. Payment

• Payment is due at the time of order unless a credit arrangement has been expressly agreed to in writing.
• We accept payment methods as displayed at checkout. All amounts are in US dollars.
• Fraudulent chargebacks may result in immediate account termination and legal action.

6. Shipping & Returns

• Shipping times and costs are provided at checkout and are estimates only.
• Risk of loss transfers to you upon handoff to the carrier.
• Returns are accepted within 14 days of delivery only for items that are defective, damaged in transit, or materially different from what was ordered. Contact support@canu.com with photos and your order number.
• Change-of-mind returns are not accepted on wholesale orders.

7. Intellectual Property

All brand names, logos, and product images on Canu belong to their respective brand owners and are used by Canu under authorization. You may use product images and descriptions solely for the purpose of reselling products purchased through Canu. Any other use — including republishing, redistributing, or using brand assets in a way that implies endorsement — requires written consent from the applicable brand.

8. Prohibited Conduct

You agree not to:

• Misrepresent your identity, business, or resale license status
• Attempt to access Canu systems or data beyond your authorized scope
• Scrape, copy, or redistribute catalog data, pricing, or content
• Use the platform for any unlawful purpose
• Interfere with the platform's operation or security

9. Disclaimer of Warranties

The platform and all content are provided "as is" and "as available" without warranty of any kind, express or implied. Canu does not warrant that the platform will be uninterrupted, error-free, or free of viruses. Product descriptions and images are provided by brand partners and Canu makes no warranty as to their accuracy.

10. Limitation of Liability

To the fullest extent permitted by law, Canu and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform or products purchased through it, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid for the order giving rise to the claim.

11. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, abusive behavior, fraudulent activity, or inactivity. Upon termination, your right to access the platform immediately ceases. Outstanding order obligations remain in effect.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will update the version number and effective date above and notify you via email or an in-platform notice. Continued use of Canu after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Utah, and you consent to personal jurisdiction in those courts.
